Terms of Service
Effective Date: May 16, 2026
1. Acceptance
These Terms of Service (“Terms”) are a legal agreement between you (“you” or “Customer”) and PartyMate, Inc., a Delaware corporation operating Eventmate AI (“Eventmate”, “we”, or “us”). By accessing or using eventmate.ai, the Experience Graph API, the Eventmate MCP server, or any related developer tooling (collectively, the “Service”), you agree to be bound by these Terms.
2. The Service
Eventmate provides programmatic access to a structured graph of live experiences — events, venues, artists, organizers, and the relationships between them. Access is provided via HTTP API, MCP server, and other interfaces we may offer.
3. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract. You are responsible for safeguarding your API keys and for all activity that occurs under your account. Notify us immediately at security@eventmate.ai if you suspect a key has been compromised.
4. Acceptable use
You agree not to:
- Reverse-engineer, scrape, or attempt to reconstruct the underlying graph in bulk for redistribution.
- Use the Service to build or train a directly competing event-data product.
- Exceed published rate limits, evade authentication, or otherwise interfere with the integrity or performance of the Service.
- Use the Service to send unsolicited communications or to facilitate illegal activity.
- Misrepresent the data — every consuming application must attribute Eventmate where reasonably visible, and must not present stale data as live without timestamps.
We may suspend access without notice if we reasonably believe these terms are being violated.
5. Fees
Pricing tiers, rate limits, and overage rates are published on eventmate.ai and may be agreed in a written order form. Fees are non-refundable except as required by law. We may change fees with at least 30 days’ notice; changes apply to the next billing cycle.
6. Data and intellectual property
The Experience Graph, the Service, and all underlying software, schemas, and documentation are owned by Eventmate or its licensors. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to query the Service and to display retrieved data in your application during the term of your subscription. You may not redistribute raw graph data in bulk without a separate written agreement.
You retain all rights to your own content (queries, prompts, and any data you submit), and grant us a limited license to process it solely to operate the Service.
7. Privacy
Our Privacy Policy describes how we handle personal data. By using the Service you agree to that policy.
8. Third-party content
The Experience Graph aggregates publicly available information about live experiences. We make commercially reasonable efforts to keep it accurate and current, but the Service is provided on an informational basis and you are responsible for verifying any data before acting on it (e.g., ticketed bookings).
9. Warranties and disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EVENTMATE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE FEES PAID BY YOU TO US DURING THE 12-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER. EVENTMATE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, EVEN IF ADVISED OF THE POSSIBILITY.
11. Indemnification
You will defend, indemnify, and hold harmless Eventmate from any third-party claims arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party rights.
12. Termination
Either party may terminate for material breach not cured within 30 days of written notice. We may suspend or terminate immediately for abuse, security risk, or non-payment. Upon termination, your right to use the Service ends; provisions that by their nature should survive (e.g., IP, warranty disclaimers, liability limits) will survive.
13. Governing law
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in San Diego County, California, and the parties consent to that jurisdiction.
14. Changes
We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date. Continued use of the Service after a change constitutes acceptance.
